What is the ICSI Exposure Draft of Syllabus 2027?

An exposure draft is ICSI’s way of saying, “Here’s what we’re planning. Tell us what you think before we finalise it.” The ICSI Council has given in-principle approval to the draft, and it is now open for public consultation with members, students, faculty and industry.

Many of the laws a Company Secretary works with have changed since 2022. The draft lists these major developments:

  • The Income-tax Act, 2025, which replaced the 1961 Act from 1 April 2026
  • Operationalisation of the four Labour Codes, with Central Rules notified in 2025
  • The Digital Personal Data Protection Act, 2023 and the Mediation Act, 2023
  • The Bharatiya Nyaya Sanhita, the Bharatiya Nagarik Suraksha Sanhita and the Bharatiya Sakshya Adhiniyam, which replaced the IPC, CrPC and Evidence Act
  • The proposed Securities Market Code and the Corporate Laws (Amendment) Bill, 2026
  • New ESG reporting requirements such as BRSR Core, along with new IFSCA regulations

Beyond these law changes, the CS new syllabus 2027 has three practical aims. The first is to remove outdated and overlapping topics. The second is to bring in hands-on learning and AI tools. The third is to shorten the course so students can start working as professionals sooner.

Is the CS New Syllabus 2027 Final? When Will It Apply?

No, it is not final yet. The ICSI new syllabus 2027 is a proposal. ICSI has not announced when it will start or which exam attempt will be the first under the new structure.

There is also a practical reason it may take some time. The draft itself says the changes may require amendments to the Company Secretaries Regulations, 1982. That legal process usually has to be completed before a new syllabus can take effect.

  • Syllabus 2022 continues for CS Executive and CS Professional students.
  • CSEET is still the entry route into the CS course. The draft proposes a Foundation Programme, but CSEET has not been removed. Registration for the February 2027 CSEET session is open until 31 October 2026.
  • Past practice suggests a smooth transition. Whenever ICSI has revised the syllabus before, existing students got a few attempts under the old syllabus before moving to the new one.

The biggest structural change in the ICSI new syllabus 2027 is right at the start. The draft proposes a Foundation Programme with four papers of 100 marks each, and it is meant for students who are just starting the CS course.

What's New in CS Foundation 2027?

Business Communication with AI. Students will learn to use AI tools for letters, reports, summaries and presentations. The paper also covers the ethics and risks of using AI responsibly.

Accounting in the Digital Era. A new topic has been added on using accounting software to record, process and report financial data.

Wider Economics coverage. New topics include the Union Budget, money markets and financial institutions, the digital economy, Digital Public Infrastructure (think UPI and Aadhaar), and emerging business trends.

More weight on law. In Paper 4, the split between law and management changes from 60:40 to 80:20. This fits the CS profession better, since the course is law-heavy from start to finish. The chapters have also been reordered so the subject flows more logically.

Descriptive exams and experiential learning. All Foundation papers are proposed to be descriptive. Experiential learning is also being introduced at this level.

Under the ICSI new syllabus 2027, CS Executive still has seven papers split into two groups, each worth 100 marks. The papers themselves have been reshuffled, though. A few subjects move between papers, one moves up to Professional, and several new topics are added.

Major Changes in CS Executive 2027

JIGL gets more current. Paper 1 adds the Digital Personal Data Protection Act. It also covers the law of crime and evidence along with digital forensics, which fits the move to the new criminal laws.

IPR moves to Paper 3. Intellectual Property Laws now sit with Setting up of Business. This makes sense, because protecting a brand, patent or design is part of starting a business. This paper also covers start-ups, MSMEs, business licences, and setting up a business in India and abroad.

Financial Management moves to Professional. Paper 4 is now only Corporate Accounting. Financial Management has been merged with Corporate Finance at the Professional level. In its place, Paper 4 covers Cost and Management Accounting in more depth, along with budgets, cash flow statements and financial forecasting.

Labour Laws move to Paper 6. The four Labour Codes and the POSH Act now sit with Economic and Commercial Laws. These cover FEMA, FDI, Competition Law, PMLA and RERA.

New topics in Capital Market and Securities Laws. Paper 5 adds finfluencers, algo trading and short selling. IFSCA now has its own place in Part II, with more detail on IFSCA capital market intermediaries.

Fully descriptive exams. The current pattern includes some objective questions. The draft proposes descriptive exams for all Executive papers, with experiential learning built into most of them.

CS Professional Syllabus 2027 (Governance and Strategic Leadership Programme)

The Professional level sees the most change. The draft suggests renaming it the Governance and Strategic Leadership Programme, which reflects how the CS role is moving beyond compliance towards board-level advisory work. It still has seven papers across two groups: five core papers and two electives.

What's New in the Core Papers?

Paper 1 is revamped. The current ESG paper becomes Governance, Sustainability and Risk Management. It gives more weight to governance and covers BRSR reporting, sustainable financing, impact assessment and ethical leadership.

Paper 2 is brand new. This is the headline change in the ICSI new syllabus 2027. It covers the digital boardroom, digital compliance and audit, MCA’s regulatory platforms, blockchain records, digital KYC, CERT-In cyber rules, global data protection laws, and how boards should govern AI.

Advanced Company Law is back. It covers the areas where a CS is most often asked for advice: independent directors, related party transactions, oppression and mismanagement, penalties and adjudication, investigations, secretarial audit, and representation before authorities.

Financial Management joins Corporate Finance. Paper 5 also absorbs the key IFSCA regulations, so the separate IFSCA elective is removed.

Insolvency is trimmed in Paper 6. Since full insolvency law is now an elective, Paper 6 keeps only the corporate insolvency process, liquidation, winding up and strike-off.

Corporate Tax Planning moves from the GST paper to the new Advanced Direct Tax elective, so the GST elective now focuses only on GST.

What is the 70:30 Assessment Model?

Under the proposed model, 70% of your marks will come from the written exam and 30% from internal, continuous assessment during your studies. According to the draft, that 30% could come from:

What Happened in the Last Switchover (2017 → 2022)

  • CSEET aspirants: Continue with CSEET. It is the only entry route right now.
  • CS Executive students: Aim to clear your groups under Syllabus 2022. Start with papers that barely change, such as JIGL, Company Law, Securities Laws and Tax.
  • CS Professional students: Try to clear full groups. Papers like Drafting and Compliance Management don’t have a direct match in the draft, so they may not carry an exemption.

Preparation Tips for the ICSI New Syllabus 2027

4. Learn the basics of AI and data privacy.
